AdsOnline Platform Payment Terms

These Payment Terms (“Payment Terms”) govern all financial transactions, payments, payouts, and billing activities occurring on or through the AdsOnline platform located at https://adsonline.app (the “Platform”). These Payment Terms constitute a binding legal agreement between you and Ads Online LLC (“Ads Online,” “we,” “our,” or “us”). These Payment Terms are expressly incorporated into, form an inseparable part of, and are subject to the AdsOnline Platform Terms of Service (the “Platform Terms”). Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Platform Terms. By accessing, registering for, or executing any financial transaction through the Platform, you reaffirm your agreement to the Platform Terms and explicitly acknowledge that all its terms, provisions, and limitations, set forth therein apply to these Payment Terms unless otherwise stated.
1. Key Definitions
- “Conditional Escrow Balance” means the conditional portion of a Gross Booking Fee held on a temporary payout delay pending the successful delivery of an un-muted live broadcast.
- “Gross Booking Fee” means the total gross amount paid by a Platform Advertiser for a confirmed Booking, inclusive of the baseline Platform Fee and the Platform Influencer’s net payout balance. A Gross Booking Fee is the amount indicated on any Order Document issued to Platform Advertiser relevant to a particular Booking.
- “Liquidated Damages Balance” means the non-refundable portion of a Gross Booking Fee reserved to compensate a Platform Influencer for scheduling, channel allocation, and pre-production milestones.
- “Platform Fee” means the commission or service markup charged by us for utilizing the technology pipeline or managed infrastructure of the Platform.
- “Payment Account” means the segregated financial sub-account provisioned for an Influencer via a Third-Party Payment Processor to receive automated, peer-to-peer card transfers.
- “Third-Party Payment Processor” means any independent, integrated financial network or technology provider partnered with the Service to facilitate financial transactions, payments, payouts, and billing activities, including but not limited to Stripe, Coinbase Commerce, and BitPay.
2. Basic Track Terms
A. Limited Authorized Payment Collection Agent
For all transactions occurring on the self-service Basic Track (a “Basic Track Transaction”), Platform Influencer explicitly appoints Ads Online as its limited authorized payment collection agent solely for the purpose of accepting and processing payments from Platform Advertisers on behalf of the Platform Influencer.
- Extinguishment of Debt: Platform Advertiser’s payment obligation to Platform Influencer is completely and legally extinguished when any funds are successfully cleared by us or our integrated infrastructure.
- Platform Role: In this track, Ads Online acts strictly as a passive technology pipeline and is not a payment provider. We partner with Third-Party Payment Processors for the purpose of collecting payments from Platform Advertisers, transferring such payments from Advertisers to Influencers, and holding funds in connection with any user account balances on the Platform. All payment services in connection with the collection of funds through the Basic Track are performed by the Third-Party Payment Processor and not by us. Except any Platform Fees disbursed to us by a Third-Party Payment Processor, funds bypass our corporate operating bank accounts entirely.
- Payment Collection Agent: Ads Online serves as a Platform Influencer’s limited authorized payment collection agent in Basic Track transactions solely for the purpose of accepting payments (via its Third-Party Payment Processor, if applicable) from Platform Advertiser, and remitting those payments to Platform Influencer. Via our Third-Party Payment Processors, we are responsible for remitting the funds to Platform Influencers in the manner described in these Payment Terms. In the event that the Third-Party Payment Processor does not or cannot remit any such successfully collected amounts to Platform Influencer due to processor outages, banking holds, or technical errors, the Platform Influencer will have recourse only against the Third-Party Payment Processor or the applicable Platform Advertiser directly, and Ads Online assumes no financial liability for such third-party infrastructure failures. In accepting liability as the limited authorized payment collection agent of Platform Influencer, we and our affiliates assume no liability for any acts or omissions of Platform Influencer.
- Platform Fee: All Basic Track transactions are subject to a Platform Fee, which may be against Platform Advertiser cost, Platform Influencer’s expected payments, or both. The Platform Fee to be collected from a user will be displayed on that user’s user interface, and all users agree to our collection of the Platform Fee via instruction to a Third-Party Payment Processor. Platform Fees assigned to us for Basic Track transactions cover administrative costs and shall not be refunded or recoverable via any return or refund under any other provision of these Payment Terms except in the case of our gross negligence or intentional malice, or if the reason for the return or refund is specifically and solely due to the Platform’s malfunction or unavailability as reasonably determined by us.
- Platform Advertiser Failure to Pay: Notwithstanding any provisions to the contrary in the Platform Terms or these Payment Terms, any particular Order Document, or any other agreement, we are not required to pay any Platform Influencer for any Booking secured via the Platform for which we or our relevant Third-Party Payment Processor has not received payment from the applicable Platform Advertiser.
B. Payment Flow and Payout Infrastructure
All Basic Track card payments are processed via our Third-Party Payment Processors. Any transactions that use this service are subject to that Third-Party Payment Processor’s applicable user terms and privacy policy then in effect. When a Platform Advertiser purchases a self-service Booking via the Basic Track:
- Funds flow through a secure, encrypted card network directly into a segregated balance assigned to that specific Influencer’s Payment Account.
- The system automatically applies a temporary payout delay on the Influencer’s dashboard until milestone verification occurs.
- Any Platform Fee owed to us is listed on the Platform user interface and is dynamically sliced and routed to us as an application fee at the moment of checkout or disbursement.
3. Premium Track Terms
A. Merchant of Record
For all arrangements occurring on the Premium Track (“Premium Track Transactions”), Ads Online acts strictly as the Merchant of Record (MoR) and a primary principal party to the transaction.
- Bilateral Separation: The Platform Advertiser contracts with and pays us directly for an integrated advertising solution. The Platform Influencer acts as an independent subcontractor hired directly by us under an independent Order Document.
- Payment Methods: Any Premium Track payments will be handled as specifically described in a relevant Order Document. Any deviation from that method shall be sufficient to satisfy a payment obligation under a Premium Track arrangement only upon our mutual agreement with the particular user.
- Revenue Status: All payments received by us via credit card, bank wire, a Third-Party Payment Processor, or native Bitcoin/Cryptocurrency gateways constitute our direct revenue. Payouts distributed to Platform Influencers represent standard independent vendor expenses paid by us.
4. Conditional Broadcast Balance
To safely manage creative, technical, and broadcast execution risks during live-stream windows, Basic Track users contractually agree to an automated, binary milestone settlement mechanism:
A. Earned Pre-Production Balance
Upon a Platform Influencer’s digital acceptance of a Booking, twenty-five percent (25%) of the Gross Booking Fee is instantly deemed non-refundable liquidated damages. This balance (less any applicable Platform Fees) is contractually earned by the Platform Influencer to cover channel reservation, calendar lockout, content review compliance, technical setup costs, and any costs associated with content production.
B. Conditional Broadcast Balance
The remaining seventy-five percent (75%) of the Gross Booking Fee (the “Conditional Escrow Balance”) remains strictly conditional upon successful content review, draft approval, and un-muted live broadcast delivery. To protect both parties, the execution of this balance is governed by the following strict production and revision lifecycle:
- Draft Submission and Approval Workflow: Prior to any scheduled publication or live broadcast, the Platform Influencer must submit an initial content draft or campaign outline to the Platform Advertiser for review and formal approval through the Platform interface.
- Revision Restrictions: The Platform Advertiser is strictly limited to a maximum of two (2) revisions. This workflow establishes a total of three (3) distinct submission attempts by the Platform Influencer to satisfy the campaign requirements: the initial draft submission plus two (2) subsequent retries based on the Platform Advertiser’s good-faith feedback and instructions. The parties may, at their sole discretion, mutually agree through the Platform dashboard to extend additional revision attempts beyond this baseline.
- Platform Advertiser Satisfaction Refund Trigger: If, after receiving the initial request and providing two (2) subsequent rounds of good-faith instructional feedback for retries (totaling at least three (3) failed submission attempts), the Platform Advertiser remains unsatisfied with the creative output, the Platform Advertiser may choose to stop revisions and manually initiate the cancellation and refund sequence through the Platform user interface. Alternately, if Platform Advertiser fails to submit materials or instructional feedback timely enough for Platform Influencer to deliver the services specified in a relevant Order Documents on the agreed display dates, then Platform Influencer, in its reasonable discretion, may trigger a refund of the Conditional Escrow Balance. Upon a user triggering a refund under this clause, any funds collected will be processed as follows:
- The 75% Conditional Escrow Balance is to be refunded to the Platform Advertiser’s payment method.
- The 25% Liquidated Damages Balance (less any applicable Platform Fees) is to be disbursed directly to the Influencer, and any applicable Platform Fees to us.
C. Alternate Rules for Paid Interview Services
For Bookings explicitly designated as Paid Interviews, the standard 25% pre-production milestone rules are overridden by the following binary attendance and scheduling conditions:
- Platform Advertiser Default (No-Show or Cancellation): If the Platform Advertiser cancels the Booking or fails to attend the designated interview broadcast window, and the parties cannot mutually agree to a reasonable alternative rescheduling window within fourteen (14) days, the Booking is deemed canceled due to Platform Advertiser default. In this event, the Platform Influencer contractually earns fifty percent (50%) of the Gross Booking Fee as liquidated damages for airtime lock-out and preparation, and the remaining fifty percent (50%) is refunded to the Platform Advertiser.
- Platform Influencer Default (No-Show): If the Platform Influencer fails to host, broadcast, or attend the scheduled interview window, and the parties cannot mutually agree to a reasonable rescheduling window, the Booking is deemed voided due to Platform Influencer default. In this event, the Platform Advertiser is entitled to a full one hundred percent (100%) refund of all processed fees, and the Platform Influencer forfeits all rights to any portion of the financial settlement.
D. The Copyright and Deletion Clawback
Notwithstanding the foregoing, Platform Influencers operating via the Basic Track are strictly prohibited from broadcasting unlicensed copyrighted music, media, or engaging in conduct that results in an immediate platform ban or channel strike during the promotional window.
- Platform Influencers must maintain the publicly accessible VOD or archived recording of the sponsored stream for a minimum of ninety (90) days following the stream date.
- Any stream termination, audio muting, or retroactive archival deletion resulting from Platform Influencer’s copyright or policy violations voids all of Platform Influencer’s entitlements to all or any portion of the Gross Booking Fee, resulting in a 100% refund to the Platform Advertiser.
E. Verification and Default
You acknowledge and agree that we utilize Platform metadata, transmission logs, and internal quality control verification protocols to verify live broadcast attendance and execute the automated milestone routing of funds under this Section.
- For Basic Track Transactions, we do not adjudicate or arbitrate the underlying bilateral contract relationship. Instead, the parties agree that the platform infrastructure shall execute payouts or refunds mechanically, based strictly on whether valid verification data (e.g., active stream metadata or system logs) is successfully processed by the platform interface within the designated window. Such Basic Track routing constitutes an automated technical execution constraint of the software pipeline, and neither we nor our integrated Third-Party Payment Processors shall bear any liability to either party for financial outcomes or funds routing executed in reliance upon these system records.
- For Premium Track Transactions, we retain sole, absolute, and contractually binding discretion to review verification submissions and determine whether a Platform Advertiser or Platform Influencer default has occurred. Our factual determination shall be final, conclusive, and binding, and shall not be subject to challenge or review in any action, lawsuit, or arbitration proceeding between any party and Ads Online, except in the case of manifest error or willful misconduct.
5. Chargebacks, Payment Reversals, and Circumvention
A. Chargebacks
In the event a chargeback is opened by a Platform Advertiser operating on the Basic Track, Ads Online is explicitly authorized to issue a digital command to debit the Platform Influencer’s Third-Party Payment Processor account or withhold equivalent amounts from any future platform payouts to satisfy the negative balance. Notwithstanding, filing a transaction dispute or reversing a payment through your payment provider or your bank after a Booking has been accepted, delivered, and completed is a violation of these Payment Terms. Doing so may cause your account to be temporarily or permanently disabled.
- Once you have filed a dispute with your payment provider, the funds will be ineligible for a refund under any other mechanism due to our obligations towards the payment provider.
- Basic Track Liability: For all self-service peer-to-peer transactions executing on the Basic Track, the Platform Influencer acknowledges and agrees that it bears sole and absolute financial responsibility for credit card chargebacks, fraudulent reversals, or payment retrieval fees initiated by the Platform Advertiser.
B. Off-Platform Circumvention Penalties
The fee schedules, markup margins, and user type configurations of the Platform are proprietary commercial structures.
- Users are strictly prohibited from bypassing, dodging, or attempting to slide out of the payment rails of the Platform.
- If a Platform Advertiser and Platform Influencer are introduced via the Platform, any subsequent campaign bookings, airtime purchases, or ad placements arranged between those same counterparties within twelve (12) months of the initial platform introduction must be processed exclusively through our payment rails.
- Failure to process these transactions through the Platform will result in immediate permanent account termination, a forfeiture of all pending balances, and a contractual penalty equal to the maximum Platform Fee or markup that would have been earned on the bypassed transactions.
6. General Payment Provisions
- Third-Party Terms: For any payments facilitated via Third-Party Payment Processors, you agree to comply with the respective user terms and privacy rules of those independent financial providers.
- Platform Fees: Users acknowledge that any unreturned or non-refundable amounts pursuant to these Payment Terms are subject to any indicated Platform Fees, and such Platform Fees are to be released to us upon those amounts’ disbursement.
- Crypto Terms: Users paying with or accepting native Bitcoin or other cryptocurrencies under the Premium Track acknowledge that digital assets are highly volatile. All cryptocurrency transactions are facilitated through integrated Third-Party Payment Processors (such as Coinbase Commerce or BitPay). We are not liable for any depreciation, exchange fees, or market drops occurring between the time an invoice is generated, paid, or settled. To the extent that any payment under these Payment Terms or any associated Order Document is executed in cryptocurrency, the exchange rate to fiat currency (USD) shall be calculated and contractually locked at the exact moment the checkout session is successfully generated by the designated Third-Party Payment Processor, subject to the time-bound expiration window (the “Checkout Window”) enforced by such processor’s gateway. If a transaction is not successfully executed within the Checkout Window, the session shall void, and the payor must initiate a new payment session at the then-current exchange rate. We assume no liability for digital asset volatility, depreciation, or market fluctuations occurring after the moment a payment session is locked or for any transactions canceled due to Checkout Window expiration. To ensure the net USD-equivalent value of each transaction is fully settled, network transaction costs or blockchain network fees (“gas fees”) shall be allocated as follows: (i) for incoming payments, payors must bear all network fees and processor markups required to ensure that the net USD-equivalent value received in our merchant account matches the gross USD amount invoiced; and (ii) for outgoing payouts or withdrawals, all associated network, batching, and processing fees shall be deducted directly from the payee’s net payout balance at the time of distribution. Users assume sole and absolute responsibility for the accuracy of any wallet address and designated network they provide. We are not liable for misrouted or permanently lost funds resulting from typographic errors or network mismatches provided by users, and any payout or withdrawal transaction executed by us to the wallet address provided by a payee shall be deemed fully performed and shall completely satisfy, extinguish, and discharge our payment obligation to such payee, regardless of whether such funds are successfully received, recovered, or accessed.
- External payment offers: Platform Advertisers may not solicit Platform Influencers to pay, or attempt to process payments, using any method other than the Platform or as otherwise explicitly authorized by us. In case you have been asked to use an alternative payment method, please report it immediately to Customer Support.
- Order Documents: You agree to receive Order Documents from us in electronic form as PDF documents, by email, or through the Platform. In the event of any discrepancy related to payments for a particular Booking, the relevant Order Documents supersede any other communication.
- Commercial Capacity and Waiver of Consumer Rights: You explicitly represent and warrant that you are accessing and utilizing the Platform solely in a professional, business, or commercial capacity as an independent business entity, sole proprietor, or corporate representative, and not as an individual consumer. Consequently, you acknowledge and agree that statutory consumer protection regulations, consumer cooling-off windows, and mandatory statutory rights of withdrawal (including, without limitation, the European Union and United Kingdom Consumer Rights Directive frameworks or domestic equivalents) do not apply to any transactions, Gross Booking Fees, or platform operations executed under these Payment Terms. To the maximum extent permitted by law, you hereby knowingly and explicitly waive any statutory right to an automatic, unconditional cancellation or cooling-off refund.
- Payout Destination Accuracy: Users are solely responsible for maintaining accurate, valid, and current banking, credit card, or digital wallet credentials within the Platform interface. We assume no liability for any lost, misrouted, or unrecoverable funds resulting from typographic errors or incorrect destination information provided by a user.
- Illegal Payments: We, either on our own or via our Third-Party Payment Processor, as applicable, reserves the right to cancel Placements or Bookings or to place funds on hold for any suspected violation of the law, the Platform Terms, or fraudulent transactions made on the Platform.
- Know-Your-Customer: To protect against fraud, unauthorized transactions (such as money laundering), claims, or other liabilities, payment information in connection with withdrawals may be collected by our Third-Party Payment Processors. They or we may also collect such other information as necessary for the purpose of processing withdrawal payments. Payment information provided to a Third-Party Payment Processor is subject to the Third-Party Payment Processor’s privacy policy and their terms and conditions. - Representations: By using any payment method and/or providing payment details for making purchases on the Platform, you represent and warrant that: (a) you are legally authorized to provide such information; (b) you are legally authorized or have permission to make payments using the payment method(s); (c) if you are an employee or agent of a company or person that owns the payment method, you are authorized by that company or person to use the payment method to make payments on the Platform; and (d) such actions do not violate any applicable law.
- Amendments: We reserve the right to modify these Payment Terms, Platform Fees or other commissions, or markup models prospectively at any time by updating this document and providing notice via the Platform dashboard.
